Terms of Service

Eligibility

You must be at least 18 years old and legally able to enter a binding agreement to use DropSquid. If you use DropSquid for a company or other organization, you confirm that you have authority to accept these terms for that organization.

License and intellectual property

Unless otherwise stated, DropSquid LLC and its licensors own the intellectual-property rights in the website and service. Subject to these terms, we grant you a limited, non-exclusive, non-transferable license to use the service for your own lawful business purposes.

You must not republish, sell, rent, sublicense, reproduce, duplicate, copy, or redistribute DropSquid material except where the service expressly permits it or you have written permission. This restriction does not transfer ownership of product material that you lawfully provide or import from an authorized source.

User accounts

You are responsible for providing accurate information, safeguarding your account, and all activity performed through your account and connected marketplace or supplier accounts. Providing false information, sharing access without authorization, or using another person's account may result in suspension or termination. We may review accounts and activity to protect the service and enforce these terms.

Product and listing information

DropSquid helps import and organize supplier product information, prices, images, variants, shipping estimates, and marketplace listings. Supplier and marketplace data may contain errors or change without notice. You must review listings, prices, product claims, inventory, shipping promises, and marketplace requirements before approving publication. We may correct errors in information presented by the service.

Automated actions

Features may prepare listings, synchronize marketplace data, calculate prices, or initiate supplier and fulfillment steps using information from you and connected services. You authorize DropSquid to perform the actions you select through your connected accounts. You remain responsible for reviewing results and maintaining sufficient marketplace, supplier, and payment permissions. Automated actions may be delayed, rejected, or incomplete when a provider changes its data or service.

Your content

You retain ownership of content you submit to DropSquid. You grant DropSquid a limited license to host, process, reproduce, and transmit that content only as needed to operate, secure, and improve the service and carry out your instructions. You confirm that you have the rights needed to use and publish the content.

Pricing, subscription, and payments

Subscription prices are shown before checkout and may change for future billing periods with notice where required. Payment is processed through Stripe and must be completed before paid access begins. Subscriptions renew automatically each month until canceled. You may cancel through Manage billing; access continues through the end of the paid billing period unless otherwise stated at checkout.

Orders, shipping, returns, and refunds

DropSquid is a seller-operations tool and is not the seller of products listed through a user's marketplace account. Users remain responsible for order accuracy, supplier purchasing, taxes, shipping, delivery promises, customer service, returns, and refunds. Delivery times depend on suppliers and carriers, and DropSquid is not responsible for their delays. Subscription refund requests are reviewed under applicable law and the terms presented at purchase.

Marketplace compliance

You remain responsible for your products, listings, prices, taxes, intellectual-property rights, and compliance with marketplace rules and applicable law. DropSquid does not guarantee that a marketplace will accept or retain a listing.

Acceptable use

You must not misuse the service, attempt unauthorized access, introduce harmful code, interfere with service operation, violate another party's rights, or use a connected service in breach of its rules.

Connected services and availability

Third-party suppliers, marketplaces, payment processors, and other connected services are governed by their own agreements. DropSquid is not responsible for their changes, outages, fees, enforcement actions, or decisions. DropSquid may modify, suspend, or discontinue parts of the service and may be unavailable during maintenance or third-party outages.

Suspension and termination

You may stop using the service and cancel your subscription at any time. We may restrict or terminate access when reasonably necessary to protect users or the service, comply with law, respond to nonpayment, or address a material breach of these terms. Provisions that by their nature should survive termination, including ownership, payment obligations, disclaimers, liability limits, and indemnification, will continue to apply.

Disclaimer of warranties

To the fullest extent permitted by law, DropSquid is provided “as is” and “as available.” DropSquid LLC disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise uninterrupted operation, error-free supplier or marketplace data, a particular sales result, or that every listing or order will be accepted or fulfilled.

Limitation of liability

To the fullest extent permitted by law, DropSquid LLC and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the service, connected services, supplier products, listings, or fulfillment. Nothing in these terms excludes liability that cannot lawfully be excluded.

Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold DropSquid LLC harmless from claims, costs, damages, and expenses arising from your breach of these terms, your listings or products, your use of connected accounts, or your violation of law or another party's rights.

Changes and entire agreement

We may revise these terms as the service develops. Material changes will be posted here with a revised effective date. These terms, together with the Privacy Policy and terms shown at checkout, form the entire agreement about your use of DropSquid and supersede prior understandings on that subject.

Governing law

These terms are governed by the laws applicable where DropSquid LLC operates, without regard to conflict-of-law rules. You submit to the jurisdiction of courts that have lawful authority over a dispute. Mandatory consumer protections in your location remain unaffected.

General terms

Neither party is responsible for delay caused by events beyond its reasonable control. If any provision is unenforceable, the remaining provisions stay in effect. A failure to enforce a provision is not a waiver. You may not assign these terms without our consent; DropSquid may assign them as part of a reorganization, financing, merger, acquisition, or sale of assets.
